Rocket Lab's Iridium Gambit Turns Its Biggest Weakness Into the Whole Thesis

Rocket Lab has spent its public life as a paradox: a genuinely impressive engineering company that has never made money, funding perpetual losses by selling stock into a soaring share price. It is three businesses stitched together—an Electron small-launch franchise, a fast-growing Space Systems arm that builds satellites and components, and an in-development medium-lift rocket, Neutron, that the market treats as the real prize. What it has conspicuously lacked is recurring revenue. Every dollar has had to be re-won each quarter through launches and build contracts, and the gap between cash generation and cash burn has been bridged with dilution.

That changed this morning. Rocket Lab and Iridium Communications announced a definitive agreement under which Rocket Lab will acquire Iridium for $54 per share in cash and stock, representing an enterprise value of approximately $8.0 billion. The structure is $27.00 in cash plus Rocket Lab stock calculated on an exchange ratio subject to a collar banded from $67.50 to $112.50. Shares jumped, last changing hands around $91 after closing at $84.54 on June 26—a roughly 8% pop that recovers a sliver of a steep selloff, down about 40% from its spring highs.

The deal does not close until mid-2027 and faces a shareholder vote and antitrust review. But it reframes the entire investment debate, and that reframing is what this article is about.
